1. Acceptance of Terms
By accessing or using any services, products, browser extensions, or SaaS tools provided by Smesh.dev ("Company", "we", "our", or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you must not use our services.
We reserve the right to update or modify these Terms at any time without prior notice. Your continued use of the services after any changes constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.
2. Eligibility
You must be at least 18 years of age or the age of majority in your jurisdiction to use our services. By using our services, you represent and warrant that you meet this eligibility requirement.
If you are using our services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
3. User Accounts
To access certain features of our services, you may be required to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
We reserve the right to suspend or terminate your account if any information provided during registration is found to be inaccurate, not current, or incomplete.
4. License and Usage Rights
Upon purchasing a tool or extension from Smesh.dev, we grant you a limited, non-exclusive, non-transferable, revocable license to use the product for personal or commercial purposes in accordance with the specific license terms accompanying each product.
You may not: (a) copy, modify, or distribute our products except as expressly permitted; (b) reverse engineer, decompile, or disassemble any product; (c) sublicense, lease, rent, or lend any product to third parties; (d) use our products in any way that violates applicable laws or regulations.
Each product license is for a single user unless otherwise specified. Team or enterprise licenses are available as separate offerings.
5. Payments and Billing
All prices are listed in USD unless otherwise stated. You agree to pay all fees associated with your purchases. Payments are processed through our third-party payment processors, and you agree to their respective terms of service.
For subscription-based products, your subscription will automatically renew at the end of each billing cycle unless you cancel before the renewal date. You can manage your subscription through your account settings.
We reserve the right to modify pricing at any time. Price changes will not affect existing active subscriptions until the next renewal period.
6. Intellectual Property
All content, features, and functionality of our services -- including but not limited to text, graphics, logos, icons, images, software, and source code -- are the exclusive property of Smesh.dev and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
You may not use our trademarks, trade names, logos, or service marks in any manner that is likely to cause confusion, or in any manner that disparages or discredits Smesh.dev.
7. Prohibited Uses
You agree not to use our services: (a) for any unlawful purpose or to promote illegal activities; (b) to harass, abuse, threaten, or harm another person; (c) to interfere with or disrupt the services or servers connected to the services; (d) to attempt to gain unauthorized access to any portion of the services; (e) to scrape, data mine, or use automated means to access the services without our express written consent.
Violation of these prohibited uses may result in immediate termination of your account and access to our services.
8. Disclaimers and Limitation of Liability
Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
In no event shall Smesh.dev, its directors, employees, partners, agents, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the services.
Our total liability to you for any claim arising out of or relating to these Terms or our services shall not exceed the amount paid by you to Smesh.dev during the twelve (12) months preceding the claim.
9. Termination
We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.
Upon termination, your right to use the services will cease immediately. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
10. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Smesh.dev is established, without regard to its conflict of law provisions.
Any disputes arising out of or relating to these Terms or the services shall first be attempted to be resolved through good faith negotiation. If the dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration in accordance with the rules of the applicable arbitration association.
